LLC late fee calculator
Missed a filing deadline and want a quick estimate of what you've accumulated? Pick your state and enter the date the filing was due. The calculator walks through that state's published penalty schedule and flags every tier you've crossed.
Estimate late fees and consequences
Pick a state above and enter the date the filing was due. The tool walks through that state's penalty schedule and estimates what's accrued based on how late you are.
Estimated exposure
Estimate only — based on each state's published penalty schedule as of its last-reviewed date. Percentage-based penalties (e.g., "5% of unpaid tax") depend on the tax amount owed and aren't summed here. Confirm with the official portal before mailing a payment. See disclaimer.
How this works
Each state's compliance regime is different — some assess a flat dollar penalty, some use percentage-of-tax calculations, some have multiple escalating tiers ending in administrative dissolution. The calculator reads the penalty schedule from the relevant state page (the same data used in the "What happens if you miss it" table on each state page) and surfaces every tier that's triggered for the number of days you're past deadline.
The "flat-dollar estimate" is the sum of fixed-dollar penalty fees triggered so far. Percentage-based components (for example, Texas's 5% or 10% on unpaid franchise tax) depend on the underlying tax amount and are flagged but not summed — you'd need the tax owed to compute those.
What this tool can't tell you
- The exact dollar amount of percentage-based tax penalties. Use your state page's calculation explainer to estimate from your tax owed.
- Whether interest has compounded in some unusual way (state laws change; the official portal is the only source of truth for any payment).
- Whether your situation has facts the calculator doesn't model — first-year carve-outs, multi-state foreign-registration cleanup, etc. Always verify with the official portal or a CPA / attorney before paying.
Once you know your status, the missed-deadline guide walks through the reinstatement process. Your state page has the exact penalty schedule and official source links.
