Public Information Report (Form 05-102)
Texas LLCs do not file a separate annual report with the Secretary of State. They file a Public Information Report (PIR, Form 05-102) — listing managers and members or officers — annually with the Texas Comptroller of Public Accounts by May 15. As of the 2024 report year, an entity at or below the No Tax Due threshold no longer files a No Tax Due Report; the PIR is filed on its own. Above-threshold entities file the PIR together with the franchise tax report.

Franchise tax
Every Texas LLC must file the PIR by May 15 regardless of revenue. Above-threshold entities additionally file the franchise tax report (also due May 15). If May 15 falls on a weekend or holiday, the due date moves to the next business day.
The Texas franchise tax is calculated on the LLC's taxable margin. For reports due in 2026 and 2027, the No Tax Due threshold is $2,650,000 of annualized total revenue. Beginning with the 2024 report year, entities at or below the threshold no longer file a No Tax Due Report at all — they file only the Public Information Report (Form 05-102) by May 15. Above the threshold, retail and wholesale entities pay 0.375%, other entities pay 0.75%, and an EZ Computation rate of 0.331% is available for entities with total revenue at or below $20,000,000.
