Annual Report
Illinois LLCs file an Annual Report with the Secretary of State each year. The report is due before the first day of the LLC's anniversary month — for example, an LLC organized September 15 must file before September 1 every year. The Department of Business Services mails a pre-printed annual report to the LLC's registered agent approximately 45 days before the due date. Filing is done online through the Illinois Secretary of State's LLC Annual Report Filings application.
Deadline: Before the first day of the LLC's anniversary month each year (the month in which the LLC was organized).
Fee: $75 · $75 base filing fee under 805 ILCS 180/50-10(11); series LLCs add $50 for each series that has a certificate of designation in effect on the last day of the third month preceding the LLC's anniversary month..

Other state tax obligations
Illinois does not impose a franchise tax on LLCs. The Illinois franchise tax has historically applied only to corporations under the Business Corporation Act, not to limited liability companies. (Separately, LLCs that are taxed as partnerships or S corporations for federal purposes pay a 1.5% Illinois Personal Property Replacement Tax on net Illinois income, and LLCs taxed as C corporations pay 2.5% — these are administered by the Illinois Department of Revenue, not the Secretary of State, and are reported with the LLC's Illinois income tax return.)

The penalty must be paid with the filing fee when the late annual report is filed. |
